Documents needed for the state registration of newly created legal entities with foreign investments:

The charter (or the foundation agreement – for commercial organizations, acting on the basis of the foundation agreement) - 2 copies not notarized, one soft copy (.doc or .rtf). |

Founders – foreign legal entities (organizations) – provide a legalized abstract from the trade register of the country of origin or any other equivalent proof of a legal status of a foreign investor in accordance with the legislation of the country of his location or permanent residence at the creation of a commercial organization with foreign investments (legalization is to be conducted within a year after handing in an application on registration) with a Belarusian (Russian) translation (a translator’s signature is to be notarized). |

Before submission of the above-mentioned documents to the administration of FEZ “Grodnoinvest” the property owner, the founders of the created commercial or non-commercial organizations have to:
- Coordinate with the registering body the name of the commercial, non-commercial organization;
- Specify the location area of the commercial, non-commercial organization;
- Make a decision about the creation of the commercial, non-commercial organization, prepare the charter of the organization (or the foundation agreement – for commercial organizations, acting on the basis of the foundation agreement);
- Form a statutory fund (for commercial organizations); open a temporary account in a bank (non-bank financial institution) in case of monetary contribution to the statutory fund; pursue the valuation of in-kind contributions in case of in-kind contribution to the statutory fund.
The requirements for the volume and the creation time of the statutory fund are established by the Investment code of the Republic of Belarus (for commercial organizations with foreign investments).
For reference: The amount of foreign investments in the statutory fund of a commercial organization with foreign investments must be not less than 20 000 USD in equivalent. The declared statutory fund has to be formed by 50 % or more within a year after the state registration of the company by means of the contribution of every founder not less than 50 % of their participatory share. The full statutory fund must be formed within 2 years after the day of the state registration. |

Documents needed for the state registration of amendments introduced into the charter of commercial and non-commercial organizations (or the foundation agreement – for commercial organizations, acting on the basis of the foundation agreement): |

Amendments (2 exemplars) that are processed as attachments to the charter (or the foundation agreement - for commercial organizations, acting on the basis of the foundation agreement), not notarized, and their soft copy (.doc or .rtf). Optionally, the charter (or the foundation agreement) can be submitted completely renew. |

Original of a state registration certificate in case of a company's name change or its reorganization. |
